These Referral Program Terms and Conditions (this “Agreement”) govern your participation in the Topkey Refer & Earn program (the “Program”) operated by Topkey, Inc. (“Topkey,” “we,” “our,” or “us”). By generating or sharing your unique referral link, you (“Participant” or “you”) agree to be bound by this Agreement, as well as our general Terms of Service and Privacy Policy. If you do not agree to these terms, do not participate in the Program.

Topkey reserves the right to amend this Agreement or impose additional obligations or restrictions at any time, with or without notice. By continuing to participate in the Program after any such changes, you agree to be bound by the updated Agreement. The date at the top of this page reflects when this Agreement was last updated.

In General

This Agreement explains:

• Who is eligible to participate in the Program;
• How the referral process works and what counts as a successful referral;
• What rewards are available and how they are paid out;
• Your obligations and conduct requirements as a Participant; and
• Topkey’s rights to modify, suspend, or terminate the Program.

Eligibility

To participate in the Program, you must meet all of the following requirements at the time of referral and throughout the qualifying period:

• You are an active, paying Topkey customer with an account in good standing (no outstanding balances, no violations of Topkey’s Terms of Service);
• You comply with all applicable laws and regulations, including any laws governing promotions, referrals, and incentives in your jurisdiction; and
• You are not an employee, contractor, officer, or director of Topkey or any of its affiliates.

How the Program Works

Eligible Participants may refer other property management companies (“Referred Companies”) to Topkey using a unique referral link provided within the Topkey application. Referrals are tracked solely through that unique link. Topkey is not responsible for referrals that cannot be tracked due to technical issues, browser settings, or failure to use the correct link.

Sign-Up

The Referred Company must sign up for Topkey using your unique referral link. Sign-ups that do not use the referral link, or that were already in Topkey’s sales pipeline prior to your referral, are not eligible for a reward.

Qualifying Period

A referral is deemed successful only after the Referred Company becomes a paying Topkey customer and remains an active, paying customer for at least three (3) consecutive months from the date of their first payment. If the Referred Company cancels or pauses their subscription before the end of the three-month qualifying period, no reward will be issued.

Reward Tiers

Upon a successful referral, Topkey will issue a reward to the Participant based on the Referred Company’s portfolio size at the time of sign-up:

• $500 reward for Referred Company manages 0–149 properties.
• $1,000 reward for Referred Company manages 150 or more properties.

Topkey reserves the right to modify the reward amounts, tier thresholds, or reward structure at any time in its sole discretion. Any changes will apply to referrals made on or after the effective date of the change and will not retroactively affect rewards already in the qualifying period.

Reward Payment

Once a referral qualifies, Topkey will contact you to confirm your preferred payment method. You may choose between:

• Topkey Account Credit, applied directly to your Topkey account and usable toward future invoices; or
• Cash Payment, remitted via ACH transfer or other method as determined by Topkey.

Rewards are non-transferable and may not be combined with other promotions unless expressly permitted by Topkey. Topkey reserves the right to substitute an alternative reward of equal or greater value.

Benefits to the Referred Company

The Referred Company may receive the following onboarding benefits, subject to availability and Topkey’s discretion at the time of sign-up:

• One (1) month of Topkey service at no charge;
• A discount on their Topkey subscription; and
• A reduced implementation fee.

These benefits are subject to change and may be modified or withdrawn at any time without notice.

Prohibited Conduct and Fraud Prevention

The integrity of the Program depends on fair participation. The following conduct is strictly prohibited:

• Self-referrals — referring yourself, your own company, a company you control, or any entity in which you have a material financial interest;
• Fake or fictitious referrals — referring companies that do not genuinely intend to use Topkey, or that are created solely to generate a reward;
• Spam or unsolicited communications — distributing your referral link in a manner that violates applicable anti-spam laws or Topkey’s acceptable use policies;
• Misrepresentation — making false or misleading statements about Topkey’s products, pricing, or services in connection with a referral; and
• Any other conduct intended to manipulate or circumvent the Program’s mechanics.

Topkey reserves the right to investigate suspected fraud or abuse. If Topkey determines, in its sole discretion, that a Participant has engaged in prohibited conduct, Topkey may: (i) disqualify the relevant referral(s); (ii) withhold or recover any rewards already issued; (iii) suspend or terminate the Participant’s Program access; and/or (iv) take any other action available at law or equity.

Program Modification and Termination

Topkey reserves the right, at its sole discretion and at any time, with or without notice, to modify, suspend, or terminate the Program in whole or in part; amend this Agreement; change, reduce, or eliminate any reward amounts, tier structures, or qualifying criteria; disqualify any Participant from the Program for any reason; and revoke any reward that has not yet been paid out, including where a qualifying referral is later found to be ineligible.

Rewards for referrals that have already completed the qualifying period and been confirmed will not be retroactively revoked, except in cases of fraud, misrepresentation, or violation of this Agreement.

Tax Obligations

Participants are solely responsible for determining and satisfying any and all tax obligations arising from receipt of a reward, including income taxes, self-employment taxes, and any applicable withholding. Topkey may be required by law to collect tax identification information and/or to issue tax reporting forms (such as IRS Form 1099) to Participants who receive rewards above applicable reporting thresholds. By participating in the Program, you agree to provide accurate tax information upon request. Topkey will not be liable for any taxes, penalties, or interest incurred by a Participant in connection with a reward.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TOPKEY SHALL NOT BE LIABLE TO ANY PARTICIPANT FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THE PROGRAM OR THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS OR LOSS OF DATA, EVEN IF TOPKEY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TOPKEY’S TOTAL AGGREGATE LIABILITY TO ANY PARTICIPANT IN CONNECTION WITH THE PROGRAM SHALL NOT EXCEED THE REWARD AMOUNT (IF ANY) ISSUED TO THAT PARTICIPANT.

Disclaimer of Warranties

THE PROGRAM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TOPKEY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Supplemental Terms

This Agreement is supplemental to and governed by your existing agreement(s) with Topkey, including our general Terms of Service and any other product-specific agreements applicable to your account (including, where applicable, banking, card, and payment product agreements). In the event of any conflict between this Agreement and those agreements, those agreements will control except where this Agreement expressly provides otherwise. All terms defined in your existing agreements with Topkey carry the same meaning here.

Notice of Agreement

By generating or sharing your unique referral link within the Topkey application, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions. A notice to this effect is displayed prominently on the Refer & Earn page prior to link generation. If you do not agree to these terms, please do not generate or share a referral link.

Your continued use of the Refer & Earn feature following any update to this Agreement constitutes your acceptance of the revised terms. We encourage you to review this Agreement periodically.
